The Role

As part of a dynamic in-house commercial legal team, and reporting to the Company Secretary, this role offers high-quality legal work with a focus on company secretary advice and services to the business and its subsidiaries, both within Australia and internationally.

Working closely across the broader business and as a key member of the inhouse legal team, you will provide proactive, commercially focused legal advice in accordance with Santos’ governance, reporting and compliance standards, including:  

  • advice on, and ensuring compliance with, relevant corporate legislation and regulations
  • the preparation of annual reports and returns
  • management of the AGM
  • local and overseas corporate lodgements
  • monitoring the activities of the group to ensure they act within their constitutions
  • advising the Company Secretary on good governance
  • incorporations and deregistrations
  • liaising with overseas directors and to ensure jurisdictional compliance
  • preparing reports and secretarial information
  • drafting resolutions and ensuring documents are executed appropriately
  • Managing registers and appointments

About you

To be considered for this role you will be a strong corporate lawyer with 4-8 years of corporate and commercial experience gained in a quality in-house team or leading firm. You will possess some experience in corporate matters relevant to company secretarial work, and an interest in the oil and gas sector.

In addition to your honed legal skills, you will enjoy dealing with senior executives and being part of a close knit and engaging in-house team. You will demonstrate a dynamic and adaptable approach to meet ever changing business demands, and while you will rapidly identify legal issues, you will skilfully distil your advice into simple terms to allow you to communicate effectively within the broader business.
