Job Description

We currently have a great opportunity for legal professional with 5-8 years PQE to work in a team environment with leading practitioners in our Corporate & Commercial Team.

Role requirements:

This role requires expertise in a range of transactional matters including, corporate, commercial and property. Specifically, to be successful in the role, the ideal candidate will possess:

Corporate & Transaction: 

  1. Expertise with a focus on capital raising and mergers and acquisitions transactions as well as:
  2. You will require experience and confidence in drafting transaction documents such as Shareholders Agreements (including for joint venture arrangements, early state syndicate investments and private equity backed transactions).
  3. Share or Asset Acquisition and Sale Agreements (including deposits, escrow arrangements, working capital adjustments, warranty and indemnity regimes and completion mechanics).
  4. Subscription Agreements (advice on regulatory restrictions on offers of securities, the need for formal disclosure documents and applications Corporations Act exemptions).
  5. You will have experience in dealing with the legal issues that arise and the transactions to which they apply (such as in relation to related party transactions, capital reductions, share buy-backs, FIRB applications, disclosure document exemptions and other Corporations Act requirements). Employee Incentive Schemes (including Share and Option Plans, Plan Rules, offer letters and Explanatory Memoranda, preferably with an understanding of tax implications of differing plans.
  6. Ancillary Documents to the above (such as Confidentiality Deeds, Term Sheets, Assignment Deeds, Novation Deeds, Employment Contracts, Regulatory Applications).
  7. Due Diligence for Transactions (including experience in managing document collation, data room preparations, data room protocols, undertaking due diligence through contract reviews, statutory registers, third party searches).
  8. Corporations Act advice (removal of directors, notice and process of general meetings, financial assistance, capital reductions, share buy-backs, offers of securities and Financial Services Licensing and disclosures).
  9. Advice in relation to ASX Listing Rules.
  10. Public Company transactions (including general offers, schemes of arrangement, listed company M&A, IPO’s, Rights Issues and other regulated transactions).

Commercial Law:

Your role will also involve assisting with advice on, and drafting (where applicable), the following general commercial documents:

  1. Commercial disputes including contract, shareholder/director disputes, Corporations Act, insolvency and franchise disputes.
  2. Tender and transaction documents for major projects.
  3. Property transactions and documentation (such as leases, land sale, contracts and agreements to leases)
  4. Intellectual Property documents (IP assignments and licensing arrangements).
  5. Banking and finance documents (e.g. loan agreements and security documentation).
  6. Trust arrangements (including drafting Trust Deeds, discretionary trust etc).
  7. Business Structuring (companies, partnerships, joint ventures, trusts).
  8. Taxation e.g. stamp duty, CGT, GST, landholder duty.
  9. Sub-contracting consultancy and employment arrangements.
  10. General day-to-day commercial matters such as contracts, PPSR issues, standard terms of trade, novation deeds, service agreements, development / construction contracts, power of attorney, agency / nomination arrangements.

Candidates with relevant experience must be able to work independently and, in a team, demonstrate a strong interest in business and enjoy working directly with clients.

The role will involve working in the Corporate/Transactions Team, under the supervision of a Director and reporting to Bechara Shamieh, who heads that team.

Your role will involve supporting senior lawyers to deliver the commercial objectives of their clients as well as dealing with clients directly. You will be supported with mentoring, training, and supervision to develop deeper technical, commercial and business development skills.

The position will also involve mentoring paralegals and more junior lawyers, acting as the first point of contact for clients on transactions, and assisting with and undertaking business development, marketing, and networking activities.
